These Terms of Service ("Terms") govern access to and use of HeyVigo's websites, applications, AI tools, workspaces, and related services (collectively, the "Services"). The Services are provided by Axon AI Ltd, a company limited by shares licensed by the Ras Al Khaimah Digital Assets Oasis Authority under license number 07010797 ("HeyVigo," "we," "us," or "our").
By creating an account, accepting these Terms, purchasing a paid service, or using the Services, you agree to these Terms. If you use the Services for an organization, you confirm that you are authorized to bind that organization. If you do not agree, do not use the Services.
1. The Services
HeyVigo provides AI-assisted tools for professional video production. The Services may support script development, content breakdown, asset and shot planning, image, video and audio generation, project collaboration, usage billing, and content export.
Available features, models, limits, prices, and service locations are shown in the Services or at Checkout. Accessing a website from a location does not mean that registration, payment, every model, or every feature is available there. We may restrict availability to comply with law, sanctions, provider terms, security requirements, or technical limits.
Paid services are not offered to individual consumers located in the European Economic Area or the United Kingdom.
In these Terms:
- Account means a personal HeyVigo account.
- Workspace means a collaboration space accessed through Accounts.
- Input means content or information submitted to the Services.
- Output means content generated in response to Input.
- Content means Input and Output together.
- Credits means usage units applied to eligible AI processing.
2. Eligibility
You must be at least 18 years old and legally capable of entering into these Terms. The Services are intended for professional and business use.
You may not use the Services where doing so would violate applicable law, sanctions, export controls, or trade restrictions.
3. Accounts and Workspaces
You must provide accurate information, protect your sign-in methods and verification codes, and promptly notify us of suspected unauthorized access. You are responsible for activity carried out through your Account, except to the extent applicable law provides otherwise.
Accounts are personal and may not be sold, leased, transferred, or shared without our written approval. Workspace members must use their own authorized Accounts.
A Workspace supports collaboration and does not constitute a separate legal person or billing account. Memberships and Credits remain attached to the purchasing Account. Workspace owners and administrators are responsible for invitations, permissions, member removal, and notices required for member data.
Your organization determines ownership of work created by its personnel under its own agreements. HeyVigo does not decide employment, compensation, revenue-sharing, or internal ownership disputes.
4. Acceptable Use
You may use the Services only in compliance with these Terms and applicable law. You may not use the Services to create, upload, request, edit, distribute, or facilitate:
- Child sexual abuse material, sexual content involving minors, or exploitation of minors;
- Non-consensual intimate content, sexual violence, or sexualized use of a real person's identity without permission;
- Pornography, explicit sexual content, adult services, or other mature-audience content designed for sexual gratification, including AI-generated text, images, audio, or video;
- Credible threats, terrorism, targeted harassment, hateful abuse, or instructions to cause serious harm;
- Fraud, phishing, scams, identity theft, deceptive impersonation, fabricated evidence presented as authentic, or materially misleading political content;
- Illegal goods or services, malware, credential theft, unauthorized surveillance, security exploitation, or other serious wrongdoing;
- Content that infringes intellectual property, privacy, publicity, biometric, confidentiality, contractual, or other rights; or
- Any other unlawful content or activity.
You may not bypass safety, access, billing, Credit, rate-limit, provenance, or security controls; disrupt or probe the Services; introduce malicious code; scrape at scale; reverse engineer except where a restriction is prohibited by law; resell unauthorized access; or remove a disclosure or label required by law or a distribution platform.
5. Faces, Voices, and Identities
You may use a person's face, voice, name, likeness, performance, or other identity attribute only when you have a lawful basis and all required rights, permissions, and consents.
You may not use synthetic media to unlawfully impersonate a person or mislead others about elections, emergencies, financial instructions, evidence, endorsements, or statements by a real person. You are responsible for disclosures, labels, and provenance information required for distribution.
6. AI Output
AI models are probabilistic. Output may be inaccurate, incomplete, inconsistent, offensive, similar to content generated for others, or ineligible for intellectual property protection. We do not guarantee that Output will be unique or suitable for a particular creative, production, legal, advertising, distribution, or commercial purpose.
You must review Output before relying on, publishing, advertising, distributing, or delivering it. You are responsible for checking accuracy, quality, safety, third-party rights, likenesses, voices, trademarks, music, fonts, and required disclosures.
Output is not legal, medical, financial, or other professional advice.
7. Your Content
You retain the rights you hold in Input. You must have all rights, licenses, permissions, and consents required to submit Input and permit its processing.
As between you and HeyVigo, and to the extent permitted by law, you own your Output. If HeyVigo obtains any right in your Output solely through operation of the Services, we assign that right to you. Commercial use remains subject to your purchase, applicable law, third-party rights, and any model-specific terms presented with the selected model.
You grant HeyVigo a worldwide, non-exclusive, royalty-free license to host, copy, transmit, transform, display, and otherwise process Content only as needed to provide, secure, maintain, and support the Services; enable authorized collaboration; prevent abuse; and comply with law.
We do not use Content to train a general-purpose model for other customers unless you make a separate informed choice to participate and we obtain any consent required by law. Processing by a selected third-party model is described in the Privacy Policy and any notice shown for that model.
8. HeyVigo Intellectual Property
HeyVigo and its licensors own the Services, software, interfaces, designs, documentation, trademarks, and materials we provide, excluding your Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during the applicable service period.
You may not use HeyVigo names, logos, or branding without written permission, except as permitted by law.
If you provide feedback, you permit us to use it without restriction or payment. We will not publicly identify you as the source without permission.
9. Paid Services
Paid services may include recurring subscriptions and Credit purchases. The plan page, Checkout page, and order confirmation state the applicable price, currency, billing period, benefits, limits, taxes, and renewal terms.
Marketing statements, examples, testimonials, usage figures, availability statements, and performance descriptions do not guarantee a result, return, output quality, or uninterrupted availability unless a specific commitment is expressly included in the applicable order. Commercial use of Output remains subject to the selected model terms, applicable law, and third-party rights.
The HeyVigo Subscription, Credits and Refund Terms form part of your agreement when you purchase or use a paid service.
10. Privacy and Cookies
The HeyVigo Privacy Policy explains how we process Personal Data. The HeyVigo Cookie Policy explains how cookies, local storage, and similar technologies are used.
Where consent is required for a processing activity, it will be requested separately.
11. Third-Party Services and Models
The Services use Google for Google sign-in and Google Analytics, Stripe for payment processing, and ByteDance and MiniMax for AI model processing. The Services also rely on infrastructure, hosting, storage, communications, support, and security providers. A selected model or feature may have additional terms, restrictions, processing locations, or content rules presented in the Services.
We are not responsible for a third-party service that you independently choose to use, except where applicable law does not allow responsibility to be excluded.
12. Intellectual Property Complaints
To report suspected infringement, email us with:
- Your name, organization, and contact information;
- Identification of the protected work or right;
- Information sufficient to locate the disputed Content;
- An explanation of why the use is unauthorized;
- Evidence of ownership or authority to act;
- A good-faith statement that the use is not authorized by the owner, its agent, or law;
- A statement that the information submitted is accurate; and
- Your physical or electronic signature.
We may request further information, preserve relevant records, restrict access to disputed Content, notify the affected user, or take other action permitted by law. An affected user may provide a counter-notice with supporting evidence and required legal statements. Removal, restriction, or restoration does not decide final ownership or liability.
13. Enforcement
We may review requests, activity, and Content using automated systems or human review where reasonably necessary to protect users, enforce these Terms, maintain security, or comply with law.
We may block a request, restrict Content or an export, limit a feature, suspend an Account, or report unlawful activity. Urgent safety, legal, fraud, payment, or security risks may require immediate action. We will provide notice or an appeal route when appropriate and legally permitted.
14. Suspension and Termination
You may stop using the Services at any time and may request Account deletion through the available support channel.
We may suspend or terminate access to address a material breach, fraud, abuse, security risk, unpaid charge, payment reversal, unlawful activity, legal requirement, or loss of a required third-party service.
Provisions concerning outstanding payments, intellectual property, disclaimers, liability, dispute resolution, and other provisions that by their nature should survive will remain effective after termination.
15. Changes and Availability
We may add, change, suspend, or discontinue features or models. We will provide reasonable notice when a change materially reduces paid benefits during an active billing period, unless an urgent legal, security, or provider issue prevents advance notice.
The Services may be interrupted by maintenance, provider outages, network failures, cyberattacks, government action, or events beyond our reasonable control. We will take reasonable steps to restore service.
16. Disclaimers
To the extent permitted by law, the Services are provided "as is" and "as available." We do not guarantee uninterrupted availability, error-free operation, successful generation, unique Output, or fitness for a particular purpose.
Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded.
17. Liability
Each party remains responsible for fraud, intentional misconduct, unlawful conduct, and any liability that cannot be limited by law.
To the extent permitted by law, HeyVigo is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profit, revenue, business opportunity, goodwill, or data arising from or relating to the Services.
To the extent permitted by law, HeyVigo's total liability arising from the Services or these Terms will not exceed the greater of the fees you paid to HeyVigo during the 12 months before the event giving rise to the claim or USD 100.
These limits do not apply where applicable law does not allow exclusion or limitation.
18. Business User Indemnity
If you use the Services for a business or organization, you will defend and indemnify Axon AI Ltd, its affiliates, and their personnel against third-party claims, damages, and reasonable costs arising from your Input, your use or distribution of Output, your infringement of third-party rights, your unlawful activity, or your material breach of these Terms.
This obligation does not apply to the extent a claim was caused by HeyVigo's breach, negligence, or unlawful conduct. We will provide reasonable notice and allow you to control the defense, subject to our right to participate and approve any settlement that imposes an obligation on us.
19. Changes to These Terms
We may update these Terms to reflect changes to the Services, our business, or legal requirements. We will post the updated version and provide additional notice of a material change through the Services, email, or another appropriate channel.
Changes apply prospectively. If applicable law requires renewed acceptance, the change will apply only after that acceptance is obtained.
20. Governing Law and Disputes
Contact us first so that we can try to resolve a concern.
These Terms and any non-contractual obligation arising from them are governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah, without regard to conflict-of-laws rules.
For business and organizational users, the courts of Ras Al Khaimah, United Arab Emirates have exclusive jurisdiction over disputes arising from these Terms or the Services.
For an individual consumer, this section does not remove a mandatory protection or a non-waivable right to bring proceedings or complain to a competent authority under applicable law.
Regional terms may supplement these Terms for a supported market and will control only to the extent of a direct conflict concerning that market and subject matter.
21. General Terms
These Terms, the policies incorporated into them, and any applicable order form constitute the agreement concerning the Services. A separate written agreement with Axon AI Ltd controls over these Terms on the same subject to the extent of a conflict.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver.
You may not transfer these Terms or your Account without our written consent. We may transfer these Terms as part of a merger, reorganization, financing, or sale of assets, subject to applicable law.
